3. Payments & Refund Policy 3.1 Payment Terms

• Projects require a 50% upfront payment unless otherwise agreed.
• Remaining 50% is due before final delivery or website launch.
• SEO and digital marketing services are billed monthly in advance.

3.2 Refund Policy

• Payments made are non-refundable, as our services involve time, planning, and effort.
• Refunds may be considered only if no work has started and both parties agree.

4. Client Responsibilities

The client agrees to:

• Provide accurate information, content, and materials required for the project
• Approve or request changes within reasonable timelines
• Ensure all provided materials do not violate copyright laws
• Maintain confidentiality of credentials shared with our team

We are not responsible for delays caused by incomplete content or late communication from the client.

5. Revisions & Modifications

• Website designing services include revisions as mentioned in the service proposal.
• Additional revisions or major changes beyond the agreed scope may incur extra charges, like content, images, blog, or any other customization.
• Software, plugin, theme, or third-party license costs (if required) are the client’s responsibility.

6. SEO & GBP Services Terms

For SEO services, you understand that:

• SEO results vary depending on industry, competition, and search engine algorithms.
• We do not guarantee #10 ranking or #top 100 ranking or specific results on any search engine, as no company can guarantee this.
• SEO performance improves over time and requires ongoing efforts.
• Any sudden ranking drop due to search engine updates, penalties, or technical issues outside our control is not our liability.
• We do not guarantee specific confirm listing or rankings or placement in Google local search results
• Local SEO performance depends on competition, location, business history, reviews, and Google algorithms
• Google may change its policies or algorithms at any time, impacting visibility

7. Intellectual Property Rights

• All content, graphics, designs, code, and materials created by Vertex Vision remain our intellectual property until full payment is received.
• After full payment, ownership of final website files is transferred to the client (excluding third-party components, plugins, or licensed assets).
• We reserve the right to showcase completed work in our portfolio unless the client requests otherwise in writing.

8. Confidentiality

Both parties agree to:

• Keep sensitive information confidential
• Not share project details with third parties without permission

9. Limitation of Liability

We are NOT liable for:

• Loss of profits, business, or data
• Issues caused by hosting providers, third-party plugins, cyber-attacks, or misuse by the client
• Delays caused by factors beyond our control

Our maximum liability is limited to the total amount paid for the specific service.

10. Third-Party Services

We may use third-party tools such as:

• Hosting services
• Plugins
• Themes
• Analytics tools
• SEO tools

11. Termination

We may suspend or terminate the project/services if:

• Payments are not made on time
• The client violates these Terms
• The client engages in unethical or illegal activities

Upon termination, any outstanding payments must be cleared immediately.

We reserve the right to modify or update these Terms at any time. Any changes will be posted on this page with the updated date.
